1. Definitions

• Client : the person, company, or entity who purchases services from Lumaatech.
• Scope of Work : the agreed proposal, quotation, or project plan describing the work, milestones, deliverables, and fees.
• Deliverables : all products and materials developed by Lumaatech, including websites, designs, software, reports, and documentation.
• Materials : any content, data, images, or information provided by the Client for use in the project.
• Milestones : estimated dates by which parts of the project are to be completed.

2. Fees, Deposits, and Payments

• A 50% deposit is payable before work begins. The balance is due upon completion, subject to the review/approval process.
• Payment terms are 14 days from the date of invoice (unless otherwise agreed).
• Lumaatech reserves the right to charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 on overdue invoices.
• All amounts are exclusive of VAT, which will be added where applicable.

3. Client Responsibilities

• Supply all required materials and information promptly to avoid delays.
• Ensure all materials provided are accurate, lawful, and free of third-party intellectual property claims.
• Appoint a single point of contact who will provide timely feedback and approvals.
• Retain backup copies of all materials. Lumaatech is not responsible for client data loss unless caused by negligence.

4. Variations and Change Control

• Minor revisions are included. Major changes outside the agreed Scope of Work are chargeable at £100/hour.
• Any requested changes will be confirmed in writing with revised costs and timelines.

5. Project Timeline & Delays

• Milestone dates are estimates only. Time shall not be of the essence unless agreed in writing.
• Delays caused by the Client (e.g., late feedback, missing content) may result in project extensions and/or additional charges.
• Lumaatech may suspend services if invoices remain unpaid.

6. Approval of Work

• Upon completion, the Client will have 7 days to review Deliverables.
• If no written feedback is provided within this period, the Deliverables are deemed approved.
• Once approved (or deemed approved), further changes will be treated as additional work.

7. Intellectual Property

• All intellectual property created by Lumaatech remains its property until full payment is received.
• Upon full payment, Lumaatech grants the Client a non-exclusive, perpetual license to use the Deliverables for their business purposes.
• Pre-existing materials, frameworks, and methodologies remain the property of Lumaatech.

8. Confidentiality

Both parties agree to keep confidential all business, technical, and sensitive information shared during the project. This obligation survives termination of the contract.

9. Data Protection

Lumaatech complies with the UK GDPR and Data Protection Act 2018. Personal data is handled according to our Privacy Policy.

10. Hosting, Domains, and Backups

• If Lumaatech registers domains or provides hosting on the Client’s behalf, ownership will transfer to the Client once costs are reimbursed.
• Clients are responsible for renewals, backups, and ongoing hosting fees unless otherwise agreed in writing.
• Lumaatech may suspend hosting services for non-payment.

11. Warranties & Limitations of Liability

• Lumaatech warrants that Deliverables will substantially conform to the agreed Scope of Work for 30 days after acceptance.
• Lumaatech does not guarantee specific search engine rankings, uninterrupted operation, or future compatibility with third-party updates.
• To the maximum extent permitted by law, Lumaatech excludes all implied warranties and limits liability to the total fees paid by the Client in the 12 months prior to the claim.
• Lumaatech shall not be liable for: loss of profits, business interruption, data loss, third-party failures, or any indirect/consequential damages.
• Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

12. Termination

Either party may terminate the agreement if:

• The other party materially breaches the contract and fails to remedy within 14 days of written notice.
• The Client fails to pay invoices within 30 days of due date.
• The other party enters insolvency proceedings.

Upon termination:

• All licences granted by Lumaatech will end immediately unless full payment has been received.
• Deposits are non-refundable except where Lumaatech fails to deliver agreed work.

13. Force Majeure

Lumaatech shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, strikes, power outages, or internet failures.

14. Publicity

Unless otherwise agreed in writing, Lumaatech reserves the right to display completed projects in its portfolio and marketing materials.

15. Consumer Rights

Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or Consumer Contracts Regulations 2013.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.
The parties submit to the exclusive jurisdiction of the courts of England and Wales.
